1. Introduction

Welcome to Manohar Roadlines (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (www.manoharroadlines.com), mobile applications, and all services provided by us (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

2. Definitions

“User,” “you,” or “your” refers to any individual or entity that accesses or uses our Services.
“Services” refers to all offerings by Manohar Roadlines, including but not limited to freight transport, towing, contract labour, logistics coordination, and any other service displayed on our website or provided upon request.
“Content” refers to any text, images, audio, video, code, or other information made available on or through our Services.
“Account” refers to a user account registered with us for accessing certain features of the Services.

3. Eligibility & Registration

3.1 Eligibility:

You must be at least 18 years of age and capable of entering into binding contracts. By using the Services, you represent and warrant that you meet these eligibility requirements.

3.2 Registration & Account Security:

To access certain features (e.g., booking, freight calculator), you may be required to create an Account by providing accurate and complete information. You agree to keep your login credentials confidential and notify us immediately of any unauthorized use. We are not liable for any loss or damage arising from your failure to protect your credentials.

4. Booking & Service Usage

4.1 Service Requests & Quotes:

You may request quotes by providing details such as pickup/drop-off locations, cargo specifications, labour requirements, and any other relevant information.

For freight/labour cost estimates, you must verify your phone number via OTP. Once verified, you will receive an estimated price. Actual charges may vary based on final measurements, route changes, or additional services requested.

4.2 Confirmation & Acceptance:

A booking is confirmed only when we send you a booking confirmation (via email/SMS) after accepting your request.

We reserve the right to decline or modify any booking request at our sole discretion (e.g., due to vehicle unavailability, route restrictions, safety concerns).

4.3 Cancellation & Modification:

You may request cancellations or modifications up to 48 hours before the scheduled service. Cancellations within 48 hours may incur a fee of up to 25% of the quoted amount.

We reserve the right to cancel or reschedule a confirmed booking due to unforeseen circumstances (e.g., vehicle breakdown, natural disasters). In such cases, we will notify you promptly and arrange alternatives or refunds.

5. Payments, Charges & Refunds

5.1 Pricing & Quoted Estimates:

All prices are quoted in Indian Rupees (INR) and exclude applicable taxes (e.g., GST). Final invoiced amounts will include taxes as per prevailing rates.

Freight and labour estimates provided via our calculators are approximations. Actual charges will be based on final distance measurement, confirmed cargo/labour details, and any additional services (e.g., loading, unloading, waiting time).

5.2 Payment Methods:

We accept online payments through third-party payment gateways (credit/debit cards, UPI, net banking) and bank transfers. Certain services may allow cash payments upon delivery or completion.

For Account holders with approved credit terms, payments may be processed via corporate invoicing as per mutually agreed credit limits and payment schedules.

5.3 Refunds & Adjustments:

If you pre-pay for a service that is later canceled or modified by us, we will issue a full refund or credit, as applicable.

If you are dissatisfied with a completed service due to our error, contact our support team within 7 days for investigation. Refunds or credits will be issued at our discretion after verification.

6. User Obligations & Conduct

6.1 Accurate Information:

You agree to provide true, accurate, and complete information when using our Services (e.g., booking details, billing address). Providing false information may result in service delays or cancellations.

6.2 Compliance with Laws:

You must comply with all applicable laws, rules, and regulations (e.g., customs, road safety, local transportation rules) when using our Services.

6.3 Prohibited Conduct:

You shall not

• Use our Services for any illegal or unauthorized purpose.
• Transmit any harmful code (e.g., viruses, malware).
• Harass, abuse, or harm other users or our personnel.
• Attempt to gain unauthorized access to our systems or other users’ data.

7. Intellectual Property

7.1 Ownership:

All intellectual property rights in our Services, including website design, content, text, graphics, logos, and software, are owned or licensed by Manohar Roadlines.

7.2 Limited License:

You are granted a non-exclusive, revocable, non-transferable license to access and use our Services for your personal or business purposes. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9. Disclaimers & Limitation of Liability

9.1 Disclaimers:

Our Services are provided “as is” and “as available.” We do not warrant that our website or services will be uninterrupted or error-free.

We make no representations or warranties regarding the merchantability, fitness for a particular purpose, or non-infringement of any third-party rights.

9.2 Limitation of Liability:

To the maximum extent permitted by applicable law, Manohar Roadlines, its affiliates, directors, officers, employees, or agents shall not be liable for:

• Any indirect, consequential, incidental, special, or punitive damages arising out of or related to your use of our Services.
• Any loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such damages.

Total liability for any claim shall not exceed the total amount you paid to us for the relevant service in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Manohar Roadlines, its parents, subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

Your breach of these Terms.

Your violation of any applicable laws or regulations

Your misuse of the Services or any content you provide.

11. Termination

11.1 By You:

You may terminate your Account or stop using our Services at any time.

11.2 By Us:

We reserve the right to suspend or terminate your access to the Services, without prior notice, if you violate these Terms or engage in conduct that we deem harmful to our business, other users, or third parties.

11.3 Effect of Termination:

Upon termination, all rights and licenses granted to you will immediately cease. Any provisions intended to survive termination (e.g., indemnification, limitation of liability, governing law) shall remain in full force.

12. Governing Law & Dispute Resolution

12.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

12.2 Dispute Resolution:

• Informal Resolution: If a dispute arises, you agree to first attempt in good faith to resolve it by contacting us at support@manoharroadlines.in.
• Arbitration: If a dispute remains unresolved after [30] days, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The venue for arbitration shall be Mumbai, India, and proceedings shall be conducted in English.
• Court Jurisdiction: To the extent any claims are not subject to arbitration, you and Manohar Roadlines agree to submit to the exclusive jurisdiction of the courts in Mumbai, India.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on our website with a “Last updated” date. Your continued use of the Services after any such changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies posted on the website, constitute the entire agreement between you and Manohar Roadlines regarding your use of the Services and supersede all prior agreements and understandings.
